1. Agreement to Terms

By accessing or using QuickBill (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

QuickBill is a financial operations platform that helps Nigerian small businesses create invoices, collect payments, send reminders, and maintain financial records. The Service includes:

  • Web application for merchant use
  • Hosted invoice pages for customer interaction
  • WhatsApp-based invoice and reminder delivery
  • Payment collection coordination through licensed providers

3. Eligibility

You must be at least 18 years of age and operating a legitimate business to use QuickBill as a merchant. Customers accessing hosted invoice pages may use the Service without registration.

4. Merchant responsibilities

As a merchant, you agree to:

  • Provide accurate business and contact information
  • Only invoice customers for legitimate goods and services
  • Comply with Nigerian tax, financial, and consumer protection laws
  • Not use QuickBill for fraudulent, deceptive, or unlawful purposes
  • Maintain the confidentiality of your account credentials

5. Payments and fees

  • QuickBill charges a monthly subscription fee based on your plan
  • A success fee is charged on each collected payment, at the rate specified in your plan
  • All fees are in Nigerian Naira (NGN)
  • Fees are non-refundable except as expressly stated

6. Payment processing

QuickBill does not hold, process, or settle funds. All payments are processed by licensed payment providers (currently Nomba and Paystack). QuickBill is not responsible for payment processing errors, settlement delays, or payment provider outages.

7. WhatsApp messaging

Use of WhatsApp-based delivery is subject to Meta's WhatsApp Business policies. QuickBill sends messages on behalf of merchants through the WhatsApp Business API. We reserve the right to suspend messaging functionality if usage violates WhatsApp's policies.

8. Intellectual property

QuickBill and its logo, interface, and software are owned by the Company. You may not reproduce, copy, or redistribute any part of the Service without written permission.

Merchant-generated content (invoices, customer data, branding) remains your property. You grant QuickBill a license to use this content to provide the Service.

9. Termination

Either party may terminate the agreement at any time. On termination:

  • Your access to the Service ends
  • We retain financial records as required by law
  • You may request an export of your non-financial data within 30 days

10. Limitation of liability

QuickBill is not liable for:

  • Indirect or consequential losses
  • Payment provider failures
  • WhatsApp or messaging delivery failures
  • Loss of data due to circumstances beyond our reasonable control

Our total liability for any claim is limited to the fees you paid in the 3 months preceding the claim.

11. Governing law

These Terms are governed by Nigerian law. Any disputes shall be resolved in Lagos, Nigeria.

12. Changes to Terms

We may update these Terms from time to time. We will notify merchants of material changes via email. Continued use of the Service after notice constitutes acceptance.
